We, the members of the Zioncoin Foundation DAO, hereby establish this Constitution to define the operational framework, membership rules, management provisions, and amendment processes of our unincorporated association. Our mission is to promote the responsible use and development of Zioncoin while ensuring that each member understands their rights and responsibilities.

Article I: Name
The name of this unincorporated association shall be the “Zioncoin Foundation DAO” (hereafter referred to as the “DAO”).

Article II: Purpose
The purpose of the DAO is to:
1. Promote the development and adoption of Zioncoin.
2. Foster community engagement and education regarding Zioncoin.
3. Provide a secure and transparent platform for members to collaborate on projects related to Zioncoin.

Article III: Membership
1. Eligibility:
– Membership is open to individuals, groups, or entities interested in the mission of the DAO.
– Members must adhere to the DAO’s principles and regulations.
2. Admission:
– Prospective members must express their intent to join and agree to the Constitution.
– Membership shall be confirmed via a majority vote of the existing members.
3. **Rights and Responsibilities**:
– Each member has the right to participate in discussions and decision-making processes.
– Members are responsible for adhering to the rules of the DAO and for their actions within the community.
– Members are encouraged to contribute to the DAO’s projects and initiatives.
4. Termination of Membership:
– Membership may be terminated by a majority vote if a member is found to violate the Constitution or act against the interests of the DAO.

Article IV: Management Provisions
1. Leadership Structure:
– The DAO shall elect a leadership committee (hereafter referred to as the “Committee”) responsible for managing daily operations and facilitating discussions.
– The Committee shall consist of at least three members elected for a term of one year.
2. Roles and Responsibilities:
– The Committee shall organize meetings, oversee projects, and ensure transparent communication among members.
– Decisions shall be made by consensus or by a majority vote during meetings.
3. Meetings:
– Regular meetings shall be held at least once a month.
– Special meetings may be called by any Committee member with a 72-hour notice to all members.

Article V: Decision-Making Process
1. Consensus Building:
– The DAO promotes a collaborative decision-making process, encouraging discussions and feedback.
2. **Voting**:
– Major decisions, including rule changes or project approvals, require a vote.
– A two-thirds majority of the voting members present is needed for approval.

Article VI: Amendment Process
1. **Proposal of Amendments**:
– Any member can propose an amendment to this Constitution.
– The proposal must be submitted in writing to the Committee.
2. Discussion:
– Proposed amendments will be discussed in the next scheduled meeting, allowing members to provide feedback.
3. Voting on Amendments:
– Amendments require a two-thirds majority vote for adoption.

Article VII: Dissolution
In the event of the dissolution of the DAO, any remaining assets shall be distributed according to the community’s consensus, prioritizing contributions to Zioncoin-related projects.

This Constitution shall be ratified by a two-thirds majority of the founding members present at the inaugural meeting of the DAO.
